Partner Terms & Legal Framework

This document sets out the general legal and institutional framework applicable to all entities entering into a partnership with the United Kingdom Professional Studies Academy Ltd (UKPSA). It is intended to provide transparency regarding mutual obligations, academic standards, and the scope of authorised activities within the UKPSA partnership programme.
1. Partner Status
- Partners operate as independent entities. The partnership does not constitute an employment, agency, or joint-venture relationship.
- Partners do not represent or act on behalf of UKPSA in any legal capacity unless expressly authorised in writing.
- No exclusivity is granted unless explicitly stipulated in a separate formal agreement.
2. Scope of Partnership
Authorised Activities
- Promotion of UKPSA academic programmes and certification services within the agreed territory or sector.
- Student recruitment and pre-enrolment guidance in accordance with UKPSA guidelines.
- Submission of student applications via official UKPSA systems and designated channels.
Prohibited Activities
- Issuing, modifying, or reproducing any UKPSA diploma, certificate, or official academic document.
- Altering programme content, academic requirements, or assessment criteria without prior written approval.
- Making misleading or inaccurate representations regarding UKPSA programmes, accreditation status, or institutional affiliation.
3. Accreditation & Academic Integrity
- UKPSA maintains full responsibility for the academic validity, quality assurance, and accreditation standards of all certifications issued.
- Partners must present programme information accurately, using only materials provided or approved by UKPSA.
- Any misleading claim regarding programme recognition, accreditation body affiliation, or equivalency is strictly prohibited.
4. Responsibilities
UKPSA Responsibilities
- Management and delivery of academic certification processes in compliance with institutional standards.
- Provision and maintenance of the digital platform, partner portal, and associated technologies.
- Issuance and verification of diplomas, transcripts, and official academic documents.
Partner Responsibilities
- Conducting local marketing and promotional activities in compliance with applicable regulations.
- Ensuring compliance with all local laws, licensing requirements, and industry standards relevant to educational services.
- Facilitating the student onboarding process and providing accurate, timely information to UKPSA.
5. Data Protection
- All personal data collected within the scope of the partnership shall be used exclusively for academic and administrative purposes related to UKPSA programmes.
- Both parties shall comply with applicable data protection legislation, including but not limited to the UK GDPR, the EU General Data Protection Regulation, and Moroccan Law 09-08 on the protection of individuals with regard to the processing of personal data.
- Resale, unauthorised disclosure, or misuse of personal data is strictly prohibited and constitutes grounds for immediate termination.
6. Lead Protection
UKPSA acknowledges and respects the commercial efforts of its partners. Students generated through a partner’s activities shall not be directly contacted or solicited by UKPSA for competing purposes without the partner’s prior written agreement.
7. Intellectual Property & Branding
- Partners are granted a limited, non-exclusive, revocable licence to use the UKPSA, IACC, and IVQA names, logos, and trademarks solely within the scope and duration of the partnership.
- All intellectual property rights pertaining to UKPSA programmes, materials, and branding remain the exclusive property of UKPSA. Any use outside the agreed scope requires prior written authorisation.
8. Confidentiality
All business, operational, financial, and strategic information exchanged between the parties in the context of the partnership shall be treated as strictly confidential. Neither party may disclose such information to third parties without prior written consent, except where required by law.
9. Termination
UKPSA reserves the right to suspend or terminate any partnership in the event of a material breach of these terms, fraudulent activity, misrepresentation, or conduct deemed detrimental to the reputation or academic integrity of the institution. Partners shall be notified in writing and afforded a reasonable opportunity to remedy correctable breaches prior to termination.
10. Fees & Dossier
- A one-time registration and application dossier fee is payable upon onboarding. This fee covers the administrative processing of the partnership application, dossier review, and initial account setup.
- The registration and dossier fee is strictly non-refundable once payment has been processed, regardless of the outcome of the application or any subsequent decision by the partner to withdraw.
- The specific fee amount is communicated during the onboarding process and must be settled in full before the partnership is formally activated.
11. Legal Notice
This document constitutes a general framework and does not replace the formal partnership agreement. Detailed commercial terms, specific obligations, and operational provisions are provided exclusively in the individual contract issued to each partner upon completion of the onboarding process.
